Private beta terms
Draft, for lawyer review. Prepared 22 October 2026. Not yet in force. Square brackets mark points still to be confirmed or decided.
These terms apply to the invite-only private beta of Club Ledger (working name), run by [legal name of the provider: sole trader or company, to confirm], [address] ("we"). By signing in you accept them. Please also read the privacy notice.
1. The beta
- Invitation only. The beta is open only to people we invite. An invitation is personal to the email address it was sent to. If it names an organisation, it gives access to that person as a member of that organisation, not to the organisation as a whole.
- Free. The beta costs nothing. We will not charge you for it, and we will not move you to a paid plan without your separate agreement.
- A beta. The service is still being built. Features, data and coverage will change, some parts may be incomplete, and it may be unavailable at times. We can end the beta, or your access, at any time; where we can, we will give you notice.
2. Your account
- Sign in only with your own email address or Google account. Do not share sign-in links or your access.
- Tell us at once at support@clubledger.co.uk if you think someone else has used your account.
- We may suspend or withdraw your access if you break these terms, or to protect the service or other people.
3. What the service is, and what it is not
- As filed, with sources. The service reports what public records show about English football clubs: their filed accounts, the companies and people behind them as the registers record them, charges, and notices. Figures are as reported in the filed accounts, each with a link to its source document and page. Where we calculate a figure, we do so only by exact arithmetic from filed figures, and label it "derived". We never estimate an amount.
- Events, not opinions. Flags and alerts state a fact on the public record with its source and date, such as a late filing, a new charge or a going-concern statement in the auditor's report. They are not opinions about a club or a person, and nothing in the service is a view about what will happen to a club.
- Not advice. Nothing in the service is financial, investment, credit, legal, tax or accounting advice, or a recommendation to do or not do anything. Make your own checks against the cited sources, and take professional advice before you rely on anything for a decision.
- Accuracy. We check the data carefully, including by hand, but the records it comes from can be late, incomplete or wrong, and so can we. Before relying on any figure or event, check it against the source cited with it.
4. Corrections
- If you think anything is wrong, use "report an error" or write to corrections@clubledger.co.uk.
- We acknowledge within 1 working day, and fix it or reply within 5 working days.
- A flag shown in error is removed while we look into it. Corrections we publish appear in the club's changelog.
- Mistakes in the register itself can only be corrected by Companies House; we will tell you if that is the case.
5. Using the service fairly
You must not:
- copy the service or its data in bulk, or use any robot, scraper or other automated means to access it;
- resell, sublicense or redistribute the service or its data, or build a competing product from it;
- try to get around sign-in, security or usage limits, or interfere with the service;
- use the service, or anything in it, to harass, intimidate or target any person;
- present anything from the service as saying more than it does, for example as an accusation against a club or a person.
If you take personal data away from the service, you are responsible for using it lawfully.
6. Due-diligence packs
- A pack is provided for the internal use of the person it was made for and, if their invitation names one, their organisation.
- You must not publish, redistribute, resell or share a pack, or any substantial part of it, outside that organisation without our written permission.
- You may quote short extracts, provided you keep their source attribution and do not alter the figures.
- Packs are marked with the recipient's name [watermark: to confirm], and the same terms on accuracy and advice (section 3) apply to them.
7. Ownership and sources
- The service, including its compilation, analysis, text and charts, belongs to us or our licensors. Subject to these terms, you may use it for your own work during the beta.
- Register and filings data is credited "Source: Companies House". Gazette data carries the statement "Contains public sector information licensed under the Open Government Licence v3.0: The Gazette", with the notices it covers. Keep these attributions with anything you quote.
- Club names are used only to identify the clubs. Nothing in the service is endorsed by any club, league or governing body.
- Beta content. Do not publish screenshots, figures, findings or other content from the beta without asking us first. This does not stop you citing the public records themselves.
8. Our responsibility to you
- The service is free and provided "as is" during the beta. [Lawyer: set the limitation of liability, for example a cap of £100, and whether to treat business and consumer invitees differently.]
- We are not responsible for decisions you make, or losses you suffer, from relying on the service without checking the cited sources and taking advice.
- Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraudulent misrepresentation. If you use the service as a consumer, your statutory rights are not affected.
9. Ending
You can stop using the beta at any time, and ask us to close your account. We can withdraw your invitation at any time. When access ends, your sign-in stops working, and we delete your account data as the privacy notice says. Sections 3, 6, 7 and 8 continue to apply after access ends.
10. Changes to these terms
We may change these terms during the beta. We will email you about any change that matters before it applies. If you keep using the service after that, the new terms apply.
11. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
